Nexa Pay — Consulting Services Terms & Conditions

1) Agreement to Terms

By engaging Nexa Pay for consulting services, you acknowledge that you’ve read, understood, and agree to these Terms & Conditions (“Terms”). These Terms apply to all clients and users of our services.

2) What We Do

Nexa Pay provides consulting for merchant processing and related payments operations. Our work may include payments program design, risk and chargeback strategy, systems integration, compliance support, security recommendations, and ongoing advisory. Specific deliverables, timelines, and fees will be set out in your proposal, SOW, or order form (collectively, the “Engagement Documents”).

3) Changes to Services & Fees

  • Service adjustments.We may refine, suspend, or discontinue aspects of our services at any time to maintain quality or comply with law.
  • Fees may change for future engagements or renewals. Any active fixed-fee or retainer will remain as stated in your current Engagement Documents unless otherwise agreed in writing.

4) Confidentiality & Privacy

  • Each party will keep the other’s non-public information confidential and use it only to perform under these Terms or the Engagement Documents, except where disclosure is required by law.
  • If we receive personal information from you, we’ll handle it in line with our privacy practices and applicable law. You are responsible for having a lawful basis to share any personal data with us.

5) Intellectual Property

  • Our materials.Methods, frameworks, templates, and content we provide remain Nexa Pay’s intellectual property unless expressly assigned in writing.
  • Client materials.You retain rights to your pre-existing materials and grant us a limited license to use them solely to perform the services.
  • Work product.Unless otherwise stated in your Engagement Documents, upon full payment you receive a non-exclusive, perpetual license to use the deliverables internally for your business purposes.

6) No Legal, Tax, or PCI Attestation

Our services are advisory only and do not constitute legal, tax, accounting, or formal PCI assessment/attestation services. You should obtain independent professional advice for those matters.

7) Warranties & Disclaimers

Services are provided on an “as-is” and “as-available” basis. We do not guarantee any specific business outcome, approval, processor relationship, or performance result.

8) Limitation of Liability

To the maximum extent permitted by law, Nexa Pay is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total cumulative liability for any claim arising out of or relating to the services will not exceed the fees you paid to Nexa Pay for the specific engagement giving rise to the claim.

9) Indemnification

You agree to defend, indemnify, and hold harmless Nexa Pay and its officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms or the Engagement Documents; (b) your violation of law or third-party rights; or (c) materials or instructions you provide.

10) Term & Termination

These Terms take effect when you first engage us and continue through your engagement. Either party may terminate an engagement for material breach not cured within 10 days after written notice, or as otherwise set out in the Engagement Documents. You remain responsible for fees incurred and approved expenses through the effective termination date.

11) Compliance & Third-Party Services

You’re responsible for your own compliance programs and relationships with banks, processors, gateways, or other third parties. We’re not a party to your third-party agreements and are not responsible for their actions or outcomes.

12) Governing Law & Dispute Resolution

These Terms and any related dispute will be governed by the laws of [insert jurisdiction]. The parties will first attempt to resolve disputes informally in good faith. If unresolved after 30 days, disputes will be submitted to the exclusive jurisdiction of the courts located in [insert venue], unless the parties agree to mediation or arbitration.
